The terms governing your use of the setuiot.com website, operated by SetuIoT Pvt Ltd and governed by the laws of India.

1. Acceptance of terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and SetuIoT Pvt Ltd (“SetuIoT”, “we”, “us”, or “our”), having its registered office at I-1401, Swagat Queensland, Sargasan, Gandhinagar, Gujarat, India 382421. By accessing or using the website at setuiot.com (the “Website”), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Website.

2. Definitions

  • “Website” means setuiot.com and its pages, content, and features.
  • “Platform” means the SetuIoT developer platform available at platform.setuiot.com, which is governed by a separate agreement.
  • “Content” means all text, graphics, logos, designs, code, and other material made available on the Website.
  • “You” means the individual or entity accessing the Website.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under the Indian Contract Act, 1872 to use the Website. If you use the Website on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

4. Use of the website

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for lawful informational and business-evaluation purposes, subject to these Terms. The Website is provided for marketing and informational purposes; nothing on it constitutes a binding offer, warranty, or professional advice.

5. The developer platform

The SetuIoT Platform at platform.setuiot.com is a separate product. Access to and use of the Platform — including any APIs, SDKs, firmware tools, accounts, and services — is governed by a separate platform agreement and/or order form entered into between you and SetuIoT, and not by these Terms. In the event of a conflict regarding the Platform, that separate agreement prevails.

6. Acceptable use

You agree not to:

  • Use the Website in violation of any applicable law or regulation;
  • Attempt to gain unauthorised access to, interfere with, or disrupt the Website or its underlying systems;
  • Introduce malware, scrape, harvest data, or use automated means to access the Website except as permitted;
  • Submit false, misleading, or unlawful information through our forms;
  • Infringe our or any third party's intellectual property or other rights; or
  • Use the Website to transmit unsolicited communications or for any fraudulent or harmful purpose.

7. Intellectual property

All Content on the Website, including the “Setu” and “SetuIoT” names, logos, and brand marks, the site design, graphics, and code, is owned by or licensed to SetuIoT and is protected by applicable intellectual-property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999. You may not copy, reproduce, modify, distribute, or create derivative works from the Content without our prior written permission, except for personal, non-commercial viewing of the Website. All third-party names and marks shown (for example, ecosystem and integration partners) belong to their respective owners and are used only for identification.

8. Third-party links & marks

The Website may reference or link to third-party websites, products, services, standards, or brands. These are provided for convenience and information only. We do not control and are not responsible for the content, policies, or practices of any third party, and reference to them does not imply endorsement or partnership unless expressly stated.

9. Demo requests & communications

When you submit a demo request or enquiry, you authorise us to contact you using the details you provide. Submitting a request does not create any obligation on either party to enter into a commercial relationship, and any such relationship will be subject to a separate written agreement. We make no commitment as to availability, timelines, features, or pricing communicated informally through the Website.

10. Disclaimers

The Website and its Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. SetuIoT is an early-stage company and the Website may describe planned or evolving capabilities; we do not warrant that the Website will be uninterrupted, error-free, or that any information is complete or current.

11. Limitation of liability

To the maximum extent permitted by applicable law, SetuIoT and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or in connection with your use of (or inability to use) the Website, even if advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot be excluded under applicable Indian law.

12. Indemnification

You agree to indemnify and hold harmless SetuIoT and its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Website.

13. Privacy

Your use of the Website is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data in accordance with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000.

14. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of India. Subject to the dispute-resolution process below, the courts at Gandhinagar, Gujarat, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Website.

The parties shall first attempt to resolve any dispute amicably through good-faith discussions. Failing resolution within thirty (30) days, the dispute may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996; the seat and venue of arbitration shall be Gandhinagar, Gujarat, and the proceedings shall be conducted in English.

15. Changes to these Terms or the Website

We may revise these Terms or modify, suspend, or discontinue any part of the Website at any time. Updated Terms take effect when posted on this page, indicated by the “Last updated” date. Your continued use of the Website after changes constitutes acceptance of the revised Terms.
